Terms of Service

The agreement

These terms are a contract between Tadpole Software LLC, an Arizona limited liability company doing business as Tadpole ("Tadpole", "we"), and the company that creates an account ("you"). By signing up or using the service you agree to them. If you are accepting for a company, you confirm you have the authority to bind it.

The service

Tadpole is pool-service management software: scheduling and routing, customer management, service tracking, quotes, work orders, invoicing and payments, messaging, and integrations (such as Stripe and QuickBooks Online). We update the product continuously and may add, change, or remove features.

Accounts and acceptable use

  • You are responsible for your account, your team's logins, and keeping credentials confidential.
  • Enter only data you have the right to use. You confirm you have the necessary consent to store and contact your customers.
  • Email features (invoices, service notifications, broadcasts) may only be used to message your own customers about your services. No spam, no purchased lists. Unsubscribe requests are honored automatically and must not be circumvented.
  • No unlawful use, no attempts to breach or probe the service's security, and no reselling the service without our written agreement.

We may suspend accounts that violate these rules.

Subscription and billing

  • Pricing is per active pool, as published on tadpolepool.com. The billed count syncs with your active customers.
  • New accounts may include a free trial. After the trial, subscriptions bill monthly in advance through Stripe.
  • You can cancel anytime; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.
  • If a subscription lapses, access to the service is suspended until billing is restored. Your data is retained per the Privacy Policy so you can pick up where you left off.
  • We may change pricing with at least 30 days' notice; changes apply from your next billing period.

Your customers' payments

Payments from your customers are processed through your own Stripe account via Stripe Connect. Those payments are between you and your customer: Tadpole is not a party to them, does not hold funds, and is not responsible for chargebacks, refunds, or disputes between you and your customers. Stripe's terms apply to your Stripe account.

Your data

Your company owns the data it enters. You grant us the limited rights needed to host, process, back up, and display it in order to run the service, as described in the Privacy Policy. We do not sell it and we do not use it for advertising.

Third-party services

The service depends on third parties (Stripe, Supabase, Vercel, Resend, Google Maps, Intuit). We are not responsible for their outages or acts, though we choose and monitor them carefully. If you connect an integration such as QuickBooks Online, its provider's terms also apply to your use of it.

Intellectual property

Tadpole and its software, design, and content are owned by Tadpole Software LLC and protected by law. These terms grant you a limited, non-transferable right to use the service for your business while your subscription is active — not any ownership of the software.

Disclaimers

The service is provided "as is". To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose. Tools such as water-chemistry calculations (for example, LSI) are aids, not professional advice — you remain responsible for safe chemical handling and dosing decisions.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or data. Our total liability arising out of the service is limited to the amounts you paid Tadpole in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.

Termination

You may stop using the service and cancel at any time. We may terminate or suspend the service for material breach of these terms that goes uncured after notice, or immediately for abuse that harms the service or others. Sections that by their nature should survive (data ownership, disclaimers, liability limits) survive termination.

Governing law and changes

These terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law rules. If we make material changes we will update the effective date above and notify account owners by email; continued use after changes take effect constitutes acceptance.
